Nvidia is making a significant move in the AI infrastructure space through a $6 billion deal with software startup Poolside. The agreement includes licensing Poolside's 'Model Factory' system, which is used to build AI models, and extending job offers to 109 of its employees. This strategic acquisition aims to bolster Nvidia's own AI model development capabilities.

The deal structure is notably not classified as a traditional acquisition or acquihire. Instead, Nvidia is licensing the core software technology and selectively hiring talent, a strategy the company has employed before. This approach helps Nvidia secure key technology and intellectual property while potentially avoiding more extensive regulatory scrutiny that full acquisitions often attract.

In addition to the $6 billion license and hiring component, Nvidia is making a direct investment. The company is investing $1 billion in Poolside at a pre-money valuation of $12 billion. All three of Poolside's founders will remain with the company following the transaction.

The Poolside employees joining Nvidia are primarily those who worked on its Laguna model. Their expertise will likely integrate with Nvidia's existing Nemotron line of open AI models. This development is significant as it places Nvidia in more direct competition with some of its own customers who also develop AI models.

Poolside intends to distribute the $6 billion proceeds to its investors by the end of next year. This provides a clear financial exit for the startup's backers. The deal follows Nvidia's pattern of major strategic investments, similar to its $20 billion agreement with Groq and a $900 million deal with Enfabrica.

The transaction underscores Nvidia's aggressive push to control more of the AI development stack beyond just hardware. By acquiring software tools and specialized talent, Nvidia is positioning itself to offer more comprehensive solutions. This move will intensify competition in the generative AI platform market.
