A new XRP-focused treasury company, Evernorth, is poised to list on the Nasdaq stock exchange following a critical shareholder vote scheduled for September 30. The U.S. Securities and Exchange Commission recently cleared the necessary registration paperwork for the company's merger with a shell firm, Armada Acquisition Corp. II. This approval clears a major regulatory hurdle, paving the way for the combined entity to trade under the new ticker symbol XRPN once the deal closes, expected in late September or October.
Evernorth represents a significant new venture in the cryptocurrency space, designed to hold XRP tokens on its public balance sheet. Its strategy differs from simple buy-and-hold models by planning to invest in XRP's underlying infrastructure. The company aims to actively manage its holdings to increase the amount of XRP backing each share over time, though specific mechanisms for this have not been detailed.
The venture is backed by a consortium of prominent crypto investors, including Ripple, the company closely associated with the XRP token. Other major backers include Arrington Capital, Japan's SBI Group, Pantera Capital, crypto exchange Kraken, and market maker GSR. Evernorth's founder and CEO, Asheesh Birla, previously led Ripple's payments business for over a decade.
This development occurs as the XRP market shows renewed strength, with the token trading near $1.41, up over 27% in the past week. The creation of dedicated treasury companies for specific cryptocurrencies is an emerging trend, following the model pioneered by Strategy (formerly MicroStrategy) with its Bitcoin holdings. Evernorth aims to apply a more active management approach to the XRP ecosystem.
However, the treasury model carries inherent market risks. Companies that hold a single cryptocurrency on their balance sheet can trade at a premium or discount to the net asset value of their tokens. Several Bitcoin treasury firms have recently traded below the value of their reserves, which severely limits their ability to raise capital by issuing new shares. Evernorth will need to navigate these valuation challenges.
If shareholders approve the merger on September 30, Evernorth will become the first public company primarily structured as an XRP treasury. Its success could pave the way for similar vehicles for other digital assets, further integrating traditional finance with the cryptocurrency economy. All eyes will be on the Nasdaq listing and the company's ability to execute its ambitious infrastructure-focused strategy.
