Anthropic filed its long-awaited IPO prospectus on Monday, offering a partial view of its business, strategy, and risks. The several-hundred-page S-1 omits notable financial figures. One disclosure says Claude revenue grew from $0 at commercial launch in 2023 to $_____ for the quarter ended September 30, 2026.
Redactions are common in S-1 filings, and SEC rules permit leniency for confidential information. In Anthropic’s case, missing details center on financials for its latest quarter and lease agreements tied to compute investments. Experts say the omissions may signal uncertainties in AI investing as companies race to secure compute.
Michael Dambra, a University at Buffalo accounting and law professor, cited practical reasons for missing third-quarter numbers. September 30 was only weeks ago, and closing the books for a company of Anthropic’s size takes time. Liability for misstatements also discourages publishing numbers before they are fully vetted.
Erica Neuman, a Youngstown State University accounting professor, said redacting confidential contract details is not unusual. Still, she said investors should scrutinize whether the redactions obscure Anthropic’s obligations and cash-flow effects. The S-1 identifies compute as its “most significant operating cost” and a risk in undersupply and overinvestment scenarios.
Anthropic says it needs forward compute investments that could look “irresponsibly large” at first glance. It describes chips as a “single, fungible pool” from partners including Amazon, Google, Nvidia, and AMD. The filing references contracts with aggregate committed spend of more than $____, substantially all related to compute and infrastructure.
Some contracts are set to conclude before December 2030, while others may extend through 2045. Patrick Moorhead of Moor Insights & Strategy said Anthropic owes investors more detail on compute risks’ probability and impact. SEC rules would require updated third-quarter financials if the IPO occurs later than about mid-November, Dambra said.
